Effective Date: April 17, 2026
This Beta Program Addendum (“Addendum”) supplements and is incorporated into the DAIVAD End User License Agreement (“EULA”) and Privacy Policy (“Privacy Policy”), collectively referred to as the “Agreement.” By participating in the DAIVAD Beta Program (“Beta Program”), you (“Participant” or “you”) agree to the terms of this Addendum in addition to all terms of the Agreement. In the event of a conflict between this Addendum and the Agreement, this Addendum shall control with respect to Beta Program participation.
This Addendum is entered into between DAIVAD Digital LLC (“DAIVAD,” “we,” “us,” or “our”), an Illinois limited liability company, and the individual who purchases a Beta Program license and accepts these terms.
1. Definitions
“Beta Period” means the six (6) week period beginning on the date the Participant receives access to the DAIVAD software and ending forty-two (42) calendar days thereafter.
“Extended Trial Period” means an additional six (6) week period, beginning immediately after the conclusion of the initial Beta Period, offered at DAIVAD’s sole discretion to select Participants.
“Qualifying Feedback Submission” means a completed feedback form submitted through the designated feedback mechanism that meets all of the following criteria: (a) submitted on a Thursday or Friday during the applicable week; (b) contains responses to all five (5) multiple-choice questions; and (c) contains a written comment of at least twenty-five (25) words.
“Permanent License” means a perpetual, non-transferable license to use the version of DAIVAD software that was current at the conclusion of the Participant’s Beta Period or Extended Trial Period, as applicable.
“Version 2 Upgrade” means a license to use DAIVAD version 2 software when it becomes commercially available, provided at no additional cost to qualifying Extended Trial Participants.
2. Beta Program Overview
2.1. The Beta Program is limited to five hundred (500) participants, selected on a first-come, first-served basis from the DAIVAD waitlist.
2.2. The Beta Program license fee is thirty-five dollars ($35.00) United States Dollars, payable as a one-time, non-recurring charge at the time of purchase.
2.3. Each Beta Program license includes a twelve (12) month software license, effective from the date of activation, regardless of whether the Participant earns a Permanent License through the feedback incentive described in Section 5.
2.4. Beta Program invitations will be sent via email in batches of up to one hundred (100) per day, in waitlist signup order. Participants must complete their purchase within seven (7) calendar days of receiving their invitation or their spot may be offered to the next person on the waitlist.
2.5. The Beta Program is available only to individuals located in the United States and United States Territories.
3. Beta Software Acknowledgments
By participating in the Beta Program, the Participant acknowledges and agrees that:
- The DAIVAD software is pre-release software that is still under active development.
- The software may contain bugs, errors, defects, or incomplete features that could cause unexpected behavior, data loss, or system instability.
- Features available during the Beta Period may be modified, removed, or replaced in future versions without notice.
- The software is provided “as is” and “as available” without warranty of any kind, whether express, implied, or statutory.
- DAIVAD makes no guarantee regarding the accuracy, completeness, or reliability of job search results, skills assessments, trust scores, salary analyses, or any other output generated by the software.
- The software relies on third-party artificial intelligence providers and search services that the Participant configures with their own accounts and API keys. DAIVAD is not responsible for the availability, accuracy, pricing, or terms of service of these third-party providers.
- The Participant is solely responsible for all costs incurred through their own third-party API accounts (such as OpenRouter, Exa, Brave, Tavily, or SerpApi), including any charges that exceed the Participant’s configured budget limits.
4. Feedback Requirements and Expectations
4.1. During the Beta Period, DAIVAD will send the Participants a weekly feedback form. Each questionnaire must be completed in full each week to qualify.
4.2. Qualifying Feedback Submissions must be submitted on a Thursday or Friday of the applicable week. Submissions made on other days of the week will not count toward the feedback incentive described in Section 5.
4.3. The open-ended comment field must contain a minimum of twenty-five (25) words to qualify. Comments that are nonsensical, duplicated from prior submissions, or otherwise do not constitute good-faith feedback may be disqualified at DAIVAD’s reasonable discretion.
4.4. Feedback is voluntary. Failure to submit feedback does not affect the Participant’s twelve (12) month license or their right to use the software during the license period. Feedback participation only affects eligibility for the Permanent License incentive described in Section 5.
4.5. DAIVAD has not agreed to and does not agree to treat as confidential any feedback Participant provides, and nothing in this Addendum or in the parties’ dealings arising out of or related to this Agreement will restrict DAIVAD’s right to use, profit from, disclose, publish, keep secret, or otherwise exploit feedback, without compensating or crediting Participant.
4.6. Feedback submissions should not contain personally identifiable information, confidential information, or proprietary business information. DAIVAD is not responsible for any personal information voluntarily included in feedback responses.
5. Permanent License Incentive
5.1. A Participant who submits four (4) or more Qualifying Feedback Submissions during their six (6) week Beta Period will receive a Permanent License to the version of DAIVAD software that was current at the conclusion of their Beta Period.
5.2. The Permanent License is granted in addition to, and does not replace, the twelve (12) month license included with the Beta Program purchase. If the Permanent License version is superseded by a newer version, the Participant may continue using the version covered by their Permanent License but is not entitled to upgrades beyond that version unless separately purchased or earned through the Extended Trial incentive described in Section 6.
5.3. The Permanent License is subject to all terms and restrictions of the EULA, including but not limited to the prohibition on reverse engineering, redistribution, and sublicensing.
5.4. DAIVAD will notify the Participant via email within fourteen (14) calendar days of the conclusion of their Beta Period whether they have earned a Permanent License.
5.5. Determination of whether a feedback submission qualifies is made by DAIVAD in its reasonable discretion. DAIVAD will make good-faith efforts to count all submissions that meet the criteria described in Section 4.
6. Extended Trial Invitation
6.1. At DAIVAD’s sole discretion, select Beta Program Participants may receive an invitation to participate in an Extended Trial Period of six (6) additional weeks following the conclusion of their initial Beta Period.
6.2. Extended Trial invitations are not guaranteed and are offered based on factors including, but not limited to, the quality of feedback provided, the diversity of use cases tested, and the Participant’s engagement with the software.
6.3. Extended Trial Participants who submit four (4) or more Qualifying Feedback Submissions during the Extended Trial Period will receive a free upgrade to DAIVAD version 2 software when it becomes commercially available (“Version 2 Upgrade”).
6.4. The Version 2 Upgrade entitles the Participant to a license for DAIVAD version 2 at no additional cost. This does not include subsequent major versions (version 3 and beyond) unless separately offered.
6.5. If DAIVAD version 2 is not released within twenty-four (24) months of the conclusion of the Extended Trial Period, the Version 2 Upgrade obligation shall expire and the Participant shall have no further claim to a free upgrade.
6.6. Extended Trial Participants receive the same Permanent License incentive described in Section 5 for the initial Beta Period, in addition to the Version 2 Upgrade incentive. These incentives are cumulative.
7. Data Collection During the Beta Program
7.1. During the Beta Period and any Extended Trial Period, DAIVAD may collect anonymized usage data to improve the software. This data does not include personally identifiable information, resume content, job search results, or API keys.
7.2. Usage data collected may include, but is not limited to: feature usage frequency, error logs (with personal data redacted), search source performance metrics, and user interface interaction patterns.
7.3. All data collection during the Beta Program is subject to the DAIVAD Privacy Policy. Participants may opt out of anonymized usage data collection through the Settings panel in the software without affecting their Beta Program participation or incentive eligibility.
7.4. DAIVAD will not sell, share, or disclose individual Participant data to third parties, except as required by law or as described in the Privacy Policy.
8. Support During Beta
8.1. Beta Program Participants may contact DAIVAD at support@daivad.com for technical support related to the software.
8.2. DAIVAD will make reasonable efforts to respond to support inquiries within two (2) business days. Response times are not guaranteed and may vary based on volume.
8.3. Support during the Beta Program is limited to technical issues with the DAIVAD software. DAIVAD does not provide support for third-party services (such as OpenRouter, Exa, or SerpApi), the Participant’s operating system, or the Participant’s hardware.
9. Refund Policy
9.1. Refund requests for Beta Program purchases are handled in accordance with the refund policy of Paddle, DAIVAD’s merchant of record. Except where required by applicable law, refunds are granted at Paddle’s sole discretion and must be requested within 14 days.
9.2. Upon issuance of a refund, the Participant’s DAIVAD license will be deactivated and the Participant will no longer have access to the software. Any Permanent License earned through the feedback incentive will also be revoked upon refund.
9.3. Refunds do not cover any charges incurred by the Participant through their own third-party API accounts (such as OpenRouter). These charges are between the Participant and the third-party provider.
10. Limitation of Liability
10.1. To the maximum extent permitted by applicable law, DAIVAD’s total liability to any Beta Program Participant for any and all claims arising out of or related to the Beta Program, the software, or this Addendum shall not exceed the amount paid by the Participant for the Beta Program license (thirty-five dollars, $35.00).
10.2. In no event shall DAIVAD be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to: lost profits, lost data, lost business opportunities, missed job opportunities, reliance on software output (including job search results, trust scores, salary analyses, or AI-generated content), or costs of procuring substitute services, even if advised of the possibility of such damages.
10.3. The Participant acknowledges that the software is a research and organizational tool and that all employment decisions, application submissions, and career actions remain the sole responsibility of the Participant. DAIVAD does not guarantee employment outcomes.
10.4. The Participant acknowledges that trust scores, company verifications, and scam warnings generated by the software are informational only, may contain errors, and should not be relied upon as the sole basis for any decision. DAIVAD makes no representations or warranties as to their accuracy or reliability, and the Participant should independently verify all information before acting on it.
11. Termination
11.1. DAIVAD reserves the right to terminate a Participant’s Beta Program access at any time, with or without cause, upon written notice to the Participant’s registered email address.
11.2. Grounds for termination include, but are not limited to: violation of the EULA, abuse of the software, abuse of support channels, submission of fraudulent feedback, or attempts to reverse engineer, redistribute, or circumvent the licensing system.
11.3. Upon termination for cause, the Participant forfeits all incentives (including any Permanent License or Version 2 Upgrade) but retains their purchased twelve (12) month license for the remainder of its term, unless the termination is for a material breach of the EULA.
11.4. Upon termination for material breach of the EULA, all licenses (including the twelve-month license and any earned incentives) are immediately revoked. DAIVAD may, at its discretion, issue a pro-rated refund of the Beta Program license fee for the unused portion of the twelve-month term.
12. Post-Beta Transition
12.1. At the conclusion of the Beta Program, Participants who did not earn a Permanent License will continue to have access to the software under their twelve (12) month license. Upon expiration of the twelve-month license, the Participant must purchase a standard license at the then-current pricing to continue using the software.
12.2. Beta Program Participants may be offered a discounted renewal rate at DAIVAD’s discretion. Any such offer will be communicated via email before the twelve-month license expires.
12.3. DAIVAD reserves the right to modify features, pricing, and terms for the general release version of the software. Beta Program pricing and terms apply only to the Beta Program and do not establish precedent for future pricing.
13. Communications
13.1. DAIVAD will communicate with Beta Program Participants via email at the address provided during registration. Participants are responsible for ensuring their email address is current and that emails from @daivad.com are not filtered as spam.
13.2. Participants are encouraged to add @daivad.com to their email contacts or safe senders list to ensure delivery of feedback forms, program updates, and incentive notifications.
13.3. All email communications related to the Beta Program comply with the CAN-SPAM Act. Participants may unsubscribe from marketing communications at any time, but receipt of transactional emails (such as feedback forms, license notifications, and program updates) is a condition of participation in the Beta Program.
14. General Provisions
14.1. Governing Law. This Addendum shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.
14.2. Entire Agreement. This Addendum, together with the EULA and Privacy Policy, constitutes the entire agreement between the parties with respect to the Beta Program and supersedes all prior or contemporaneous communications regarding the same.
14.3. Severability. If any provision of this Addendum is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
14.4. Amendment. DAIVAD reserves the right to modify this Addendum upon thirty (30) calendar days’ written notice to Participants. Continued participation in the Beta Program after the effective date of any modification constitutes acceptance of the modified terms.
14.5. Assignment. The Participant may not assign or transfer their Beta Program participation, license, or any rights under this Addendum without the prior written consent of DAIVAD.
14.6. Waiver. The failure of either party to enforce any provision of this Addendum shall not constitute a waiver of that provision or the right to enforce it at a later time.
BY PURCHASING A BETA PROGRAM LICENSE AND USING THE DAIVAD SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS BETA PROGRAM ADDENDUM.
